AUDITION HUB TERMS OF SERVICE

1. Description of the Service

Audition Hub is a web-based rehearsal and audition recording platform that allows users to upload scripts, generate AI-assisted dialogue, record audio and video performances, download recordings, and share recordings privately via user-generated links.

The Service is provided for rehearsal and preparation purposes only. Audition Hub is not a casting service, talent agency, employer, or representative.

We may modify, add, or remove features at any time. Changes may occur without prior notice.

2. Eligibility and Age Requirements

To use the Service, you represent and warrant that:

• You are at least 18 years old, or
• You are using the Service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

The Service is not directed to children under the age of 13, and users under 13 are not permitted to use the Service.

Audition Hub does not verify user age and relies on user representations.

3. User Representations and Responsibilities

By using the Service, you represent and warrant that:

• You have the legal right to create, upload, record, download, and share all content you submit.
• You have obtained all necessary permissions and consents from any individual appearing in your recordings, including parental or guardian consent for minors.
• Your use of the Service complies with all applicable laws and regulations.
• Your content does not violate the rights of any third party.
• You are solely responsible for all activity that occurs under your account.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to notify us immediately of any unauthorized use or security breach. We are not liable for losses resulting from unauthorized access caused by your failure to safeguard credentials.

5. Subscriptions, Tokens, and Payments

5.1 Subscriptions

Certain features require a paid subscription. Subscriptions are billed monthly or annually, depending on the plan selected.

All payments are processed through Stripe. Audition Hub does not store full payment card information.

5.2 Tokens

Subscription plans include a set number of usage tokens per billing cycle.

Subscription tokens reset at the start of each billing cycle and do not roll over.

Free trial tokens, promotional tokens, and tokens granted by administrators do roll over unless otherwise stated.

Tokens have no cash value and are non-transferable.

5.3 Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date.

5.4 Cancellations and Refunds

You may cancel your subscription at any time through your account settings. All fees are non-refundable except where required by law.

6. User Content and Recordings

6.1 Ownership

You retain ownership of all audio, video, text, scripts, and other materials you upload or record ("User Content").

6.2 License to Audition Hub

You grant Audition Hub a limited, non-exclusive, royalty-free license to host, store, process, transmit, and display User Content solely to operate and provide the Service.

We do not publicly distribute your recordings and do not use them for advertising or third-party training.

6.3 Responsibility

You are solely responsible for your User Content and any consequences arising from it.

7. Prohibited Content and Use

You may not use the Service to upload, record, share, or distribute content that:

• Contains sexual content involving minors
• Depicts abuse, exploitation, harassment, or non-consensual conduct
• Violates privacy, publicity, or intellectual-property rights
• Is illegal, obscene, or harmful
• Is used for fraudulent, deceptive, or malicious purposes

Violations may result in immediate suspension or termination and may be reported to authorities when required by law.

8. Downloading and Sharing

The Service allows users to download recordings and generate private sharing links.

You are solely responsible for:

• Who receives access to recordings
• How recordings are shared or distributed
• Any consequences arising from sharing or downloading content

Audition Hub is not responsible for misuse, redistribution, or unauthorized sharing once access is granted by you.

9. AI-Generated Content Disclaimer

The Service may include AI-generated dialogue or content intended to assist with rehearsal.

AI outputs:

• Are provided for rehearsal and preparation only
• May be inaccurate, incomplete, or unsuitable for specific purposes
• Should not be relied upon as factual, professional, or casting guidance

You assume all risk associated with reliance on AI-generated content.

10. Platform Neutrality and No Monitoring

Audition Hub is a neutral technology platform. We are not a publisher, curator, or reviewer of User Content.

We do not proactively monitor, review, or moderate recordings or shared content and have no obligation to do so.

We respond to reports of alleged violations in accordance with applicable law.

11. Reporting Abuse or Illegal Content

To report content or conduct that violates these Terms or applicable law, contact:

Please provide sufficient information to identify the content or account involved. We review reports and take appropriate action when required.

12. Account Suspension and Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe that:

• These Terms have been violated
• Content is illegal or harmful
• We are required to do so by law or legal process

Upon termination, your access to the Service ends, and associated data may be deleted in accordance with our Privacy Policy.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AUDITION HUB SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO AUDITION HUB IN THE 12 MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS LESS.

15. Indemnification

You agree to indemnify and hold harmless Audition Hub, LLC and its affiliates from any claims, damages, losses, and expenses arising from:

• Your use or misuse of the Service
• Your User Content
• Your violation of these Terms or applicable law

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Louisiana.

Any dispute shall first be attempted to be resolved informally. If unresolved, disputes shall be resolved by binding arbitration in Baton Rouge, Louisiana, before a single arbitrator.

You waive any right to participate in a class action.

17. Assignment

We may assign these Terms without notice. You may not assign your rights without our prior written consent.

18. Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Audition Hub regarding the Service.
