TERMS AND CONDITIONS

1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Audition Hub, LLC, a Louisiana limited liability company ("Audition Hub," "we," "our," or "us"), governing your access to and use of the website located at https://auditionhub.app and all related services, software, features, content, and functionality (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must discontinue use of the Service immediately.

Audition Hub reserves the right to modify or update these Terms at any time at its sole discretion. The updated version will be posted on the website with a revised "Last Updated" date. Continued use of the Service after such posting constitutes acceptance of the revised Terms.

2. DESCRIPTION OF SERVICE

Audition Hub provides a web-based tool that enables performers to upload scripts, rehearse scenes, record and store self-taped auditions, and access related features for preparation and performance purposes. The Service may evolve, and Audition Hub may add, modify, or remove features without prior notice, provided that such changes do not materially reduce functionality for active subscribers.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

To use the Service, you must:

• Be at least 13 years of age;
• Reside in the United States; and
• Have the legal capacity to enter a binding contract.

Certain features require registration and creation of an account. You agree to provide accurate, complete, and current information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. Audition Hub may suspend or terminate your account if we believe it has been compromised or used in violation of these Terms.

4. SUBSCRIPTIONS AND PAYMENTS

4.1 Billing

Access to premium features requires an active paid subscription. All subscription payments are processed securely by Stripe. Audition Hub does not store or handle full credit-card data.

4.2 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. You may cancel at any time through your account settings.

4.3 Cancellations and Refunds

All sales are final. No refunds are provided for partial months or unused time. If Audition Hub discontinues the Service or terminates your account without cause, we may issue a pro-rated refund for the unused portion of your subscription at our discretion or as required by law.

4.4 Failed Payments

If payment is unsuccessful, your account may be suspended until payment is resolved. Failure to update valid billing information within 7 days may result in termination.

5. USER-GENERATED CONTENT

5.1 Ownership

You retain ownership of all audio, video, text, image, and script files you upload or record ("User Content").

5.2 License to Audition Hub

By uploading or recording User Content, you grant Audition Hub a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, process, transmit, and display your content solely for:

• operating and maintaining the Service;
• improving platform functionality; and
• providing technical support.

This license is limited to operational use and does not grant Audition Hub rights to publicly promote, sell, or commercially exploit your content outside the Service without your express consent. Audition Hub will not use User Content for artificial-intelligence training or generative-model development.

5.3 Responsibility

You are solely responsible for all User Content you upload and for ensuring that it does not:

• infringe the intellectual-property or privacy rights of others;
• contain defamatory, obscene, or unlawful material;
• include malware or harmful code; or
• violate any applicable law or regulation.

Audition Hub reserves the right, but not the obligation, to remove content that violates these Terms.

6. INTELLECTUAL PROPERTY

Except for User Content, all materials comprising the Service—including software, designs, graphics, trademarks, and logos—are the exclusive property of Audition Hub, LLC or its licensors. You are granted a limited, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. You may not reproduce, modify, distribute, or create derivative works based on any portion of the Service without prior written consent.

7. ACCEPTABLE USE

You agree not to:

• use automated scripts, bots, or scrapers to access the Service;
• attempt to hack, probe, or disrupt the platform;
• share, sell, or transfer your account credentials;
• harvest personal data of other users;
• use the Service to advertise or solicit goods or services; or
• upload any illegal, abusive, or infringing material.

Audition Hub may suspend or terminate accounts engaged in prohibited conduct.

8. PRIVACY

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, store, and use your information. By using the Service, you consent to our data practices described therein.

9. THIRD-PARTY SERVICES

Audition Hub integrates with third-party services such as Stripe, AWS S3, Fly.io, and analytics providers. We are not responsible for their actions, privacy practices, or terms of service. Your interactions with third parties are governed by their own agreements.

10. TERMINATION

Audition Hub may terminate or suspend your account immediately and without prior notice if you:

• violate these Terms;
• fail to maintain an active subscription;
• engage in fraudulent or harmful behavior; or
• request account deletion.

Upon termination, your right to use the Service ceases, and Audition Hub may delete associated data in accordance with our data-retention policy. Sections 5, 6, 10–18 survive termination.

11. DISCLAIMERS

THE SERVICE AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." AUDITION HUB MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

AUDITION HUB DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• AUDITION HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
• OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO AUDITION HUB DURING THE 12 MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS LESS.
• SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY; IN THOSE CASES OUR LIABILITY WILL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Audition Hub, LLC, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• your use or misuse of the Service;
• your violation of these Terms or applicable law; or
• your User Content.

This obligation survives termination of your account.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of Louisiana, USA, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to the Service shall first be resolved informally by contacting auditionhubllc@gmail.com. If unresolved, the dispute shall be submitted to binding arbitration in Baton Rouge, Louisiana, before a single neutral arbitrator in accordance with the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.

You and Audition Hub each waive the right to participate in any class action or consolidated proceeding. If arbitration is found unenforceable, the parties consent to the exclusive jurisdiction of the state and federal courts located in East Baton Rouge Parish, Louisiana.

15. FORCE MAJEURE

Audition Hub is not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, power outages, or Internet interruptions.

16. TRANSFER OF RIGHTS

Audition Hub may assign or transfer these Terms, and any rights or obligations under them, in connection with a merger, acquisition, or sale of assets, without notice to you. You may not assign your rights without our prior written consent.

17. SEVERABILITY AND WAIVER

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver of that or any other provision.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional guidelines posted on the Service, represent the complete and exclusive agreement between you and Audition Hub regarding your use of the Service, superseding all prior agreements or understandings. All rights not expressly granted herein are reserved.
